When it fits

  • Senior proceeds came in short and the equity gap is real but bounded.
  • You are buying out a partner and want to avoid a full recapitalization.
  • The asset is performing and the gap is a capital-markets problem, not an operating one.

  • Mezzanine is being used to cover an operating shortfall.
  • The senior lender's intercreditor position makes the structure uninvestable. That is worth checking before marketing.
